PharmaTrend – Terms and Conditions of Sale

By purchasing any report, analysis, or content (“Report”) from PharmaTrend (“we”, “us”, “our”), you (“Customer”) agree to the following terms:

1. Non-Refundable Sales
   All sales are final. Due to the digital and proprietary nature of our Reports, no refunds, returns, or exchanges will be issued once access is granted or the file is delivered.
2. License and Use
   Upon purchase, you receive a non-exclusive, non-transferable license to use the Report for your own internal purposes. Redistribution, resale, or public sharing of any part of the content is strictly prohibited without written consent.
3. Institutional and B2B Use
   If you are purchasing on behalf of a hedge fund, pension fund, asset manager, consultancy, or other B2B entity, you must contact us directly after your initial purchase to define appropriate terms of fair use, redistribution within teams, and compliance with licensing. Continued use without follow-up may constitute a breach of license.
   If you are purchasing on behalf of a hedge fund, pension fund, venture capital firm, investment advisory firm, asset manager, consultancy, or other business entity (“Institutional Client”), the following additional terms apply:
4. Initial Access: Your first purchase grants access for one individual user only.
5. Usage Scope: Any redistribution, internal dissemination (e.g., via email, intranet, shared drives), integration into investment models, or use across multiple teams or departments is not permitted under the basic license.
6. Fair Use Agreement:
   Institutional Clients must contact PharmaTrend within 5 business days of initial purchase to formalize a Fair Use Licensing Agreement, which will define:
   • Permitted number of users/seats
   • Scope of internal redistribution
   • Use in internal research, client memos, or investment models
   • Frequency and volume of access
7. Tiered Pricing:
   Fees for institutional use are calculated based on:
   • Number of team members accessing the content
   • Whether redistribution is internal only or also external (e.g., to clients or LPs)
   • Use in ongoing investment theses or commercial products
   • Size of AUM (Assets Under Management) or annual research budget
8. Non-Compliance:
   Unauthorized sharing or institutional use without an upgraded license may result in license revocation, additional fees, or legal action.
9. PharmaTrend retains the right to audit usage patterns and request confirmation of compliance at any time.
10. Intellectual Property
    All content remains the intellectual property of PharmaTrend. Unauthorized use, duplication, or dissemination may result in legal action.
11. No Warranties or Investment Advice
    Reports are provided “as is” for informational purposes only. No guarantee is made as to accuracy, completeness, or fitness for any particular purpose. Reports do not constitute investment, legal, or medical advice.
12. Limitation of Liability
    To the fullest extent permitted by law, PharmaTrend shall not be liable for any direct or indirect damages, losses, or consequences arising from use of our Reports.
13. Governing Law
    These terms are governed by the laws of or EU without regard to conflict of law principles.
